1. Who we are
Validia (available at validia.pro, the “Service”) is owned and operated by Cudekai Ltd (“Cudekai”, “we”, “us”, “our”), the parent company of the Validia brand. References to Validia in these Terms are references to Cudekai Ltd trading as Validia.
2. Acceptance of these terms
By creating an account, integrating our API, embedding our verification check, or otherwise using the Service, you agree to be bound by these Terms & Conditions. If you are using the Service on behalf of a company, you confirm you have authority to bind that company, and “you” refers to that company.
If you do not agree to these Terms, you must not use the Service.
3. The service
Validia provides human-verification technology: a camera-based check that combines active liveness, deepfake detection, and AI-generated-media detection, and issues a signed, short-lived verified-human token that your systems can verify via our API.
The Service provides a probabilistic confidence signal, not a guarantee. You are responsible for deciding how verification results are used in your own product, including thresholds, retry policies, and the consequences of a failed check.
4. Accounts and API keys
You must provide accurate information when creating an account and keep your credentials secure. API keys are confidential: you are responsible for all activity under your keys and must notify us promptly of any suspected compromise.
You may not share, sell, or transfer your account or API keys to any third party without our written consent.
5. Acceptable use
You agree not to:
- use the Service to harass, surveil, discriminate against, or unlawfully profile individuals;
- attempt to defeat, probe, reverse-engineer, or benchmark the detection systems except through interfaces we provide for that purpose;
- submit media of a person without a lawful basis and, where required, that person's consent;
- resell or white-label the Service without a separate written agreement;
- use the Service in violation of any applicable law or regulation, including biometric-privacy and data-protection laws applicable to your users.
We may suspend or terminate access immediately for breach of this section.
6. Verification data and privacy
Verification media is processed to produce a confidence score and is not stored without explicit consent. Verified-human tokens contain a session ID, score, assurance level, and expiry — no personally identifiable information.
You are responsible for providing any notices to, and obtaining any consents from, your end users that are required by applicable law (including biometric-data laws) before directing them to the Service.
7. Plans, fees, and taxes
The Developer tier is free within its published limits. Paid plans are billed as agreed in your order or contract. Except where required by law, fees are non-refundable, and you are responsible for applicable taxes.
We may change pricing or plan limits with reasonable prior notice; changes apply from your next billing period.
8. Intellectual property
The Service, including its detection models, software, APIs, documentation, and branding, is and remains the property of Cudekai Ltd and its licensors. You receive a limited, non-exclusive, non-transferable licence to use the Service as described in these Terms. Feedback you provide may be used by us without restriction or obligation.
9. Availability and disclaimers
The Service is provided “as is” and “as available”. We do not warrant that the Service will be uninterrupted, error-free, or that any check will correctly classify every session. Detection of synthetic media is an adversarial, evolving problem; no provider can guarantee perfect accuracy.
To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, Cudekai Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or related to the Service.
Our total aggregate liability for all claims in any 12-month period shall not exceed the greater of the fees you paid us in that period or £100. Nothing in these Terms excludes liability that cannot be excluded by law, including for death or personal injury caused by negligence, or for fraud.
11. Indemnity
You will indemnify and hold harmless Cudekai Ltd from claims arising out of your use of the Service in breach of these Terms, your violation of applicable law, or your failure to obtain required consents from your end users.
12. Suspension and termination
You may stop using the Service and close your account at any time. We may suspend or terminate the Service or your account for material breach, unlawful use, non-payment, or where required by law. Sections that by their nature should survive termination (including 8–11 and 14) survive.
13. Changes to these terms
We may update these Terms from time to time. Material changes will be notified via the Service or by email, and the updated Terms take effect when posted. Continued use of the Service after changes take effect constitutes acceptance.
14. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with them, subject to any mandatory consumer protections in your country of residence.
